Brief Description:

The Associate Director will have responsibility for the helping execute on the organization’s Corporate Development activities.  Oversees and leads the evaluation of strategic business opportunities: mergers and acquisitions, divestitures, licensing, joint ventures, and alliances that fit within the overall corporate strategy, business plan and product portfolio.  This position leads cross functional teams to achieve corporate development goals. The role will focus on leading, driving, communicating corporate development activities and negotiating business transactions. The Associate Director, Corporate Development will have frequent interactions with executive management and department heads.

 

Essential Functions

Responsibilities will include, but are not limited to, the following:

Corporate Development includes mergers and acquisitions, divestitures, licensing and joint ventures

  • Ownership of the transaction through the life cycle of a deal – from developing the deal thesis used to get approval necessary from the Executive Committee and/or Board of Directors to developing the operational plan to hand-off to the business owners following completion of a transaction
  • Lead / assist the evaluation of new business opportunities and lead diligence visits
  • Lead / assist negotiation teams and formulate proposed offers for business transactions
  • Lead multifunctional diligence and transaction teams to meet near-term goals (e.g. term sheet, definitive language agreements and alliances). Requires leveraging relationships and motivational skills to influence other line functions and Jazz as a Corporation
  • Lead the preparation of the business case for transactions
  • Lead the financial evaluation of opportunities
  • Lead the in-depth evaluation of potential corporate development opportunities by coordinating financial, market and strategic analyses
  • Present business cases and analytics to senior management to gain approval
  • Support the design, implementation and management of tools/processes to ensure efficiency and quality of the “deal-process” at Jazz
  • Frequent interaction with Jazz executive level management. Update management committees on ongoing business discussions as well as managing relationships with investment bankers and industry executives
  • Concurrently manages multiple projects (domestic and international) which are highly complex business opportunities. Requires prioritization of projects in-line with group and corporate goals
  • In conjunction with Corporate Development, acts as a liaison to external advisors such as investment bankers, attorneys and due diligence consultants. Can serve as lead Jazz representative in such matters.
  • Represents Jazz at external meetings, conferences, seminars to access new opportunities and to develop external network. Can serve as lead Jazz representative in such matters.

 

Required Knowledge, Skills, and Abilities

  • Solid leadership potential / skill. Must lead cross-functional deal teams to responsible decision via open communication, dialogue and a getting to the truth mentality. Ability to lead via influence vs line authority
  • Financial modeling experience required; expert proficiency in Microsoft Office suite
  • Very strong oral & written communication skills
  • Strong scientific and industry knowledge.
  • Ability to multi-task, manage multiple projects at one time, and rapidly change priorities based on business needs
  • Capable of carrying out assigned functions independently in an expeditions and thoughtful manner
  • High integrity with respect to maintenance of proprietary and confidential information
  • Excellent critical thinking skills: An ability to make quantitative and qualitative assessments.
  • Requires a strategic outlook and ability drive what is best for Jazz, rather than what is best for a part of Jazz.

 

Required/Preferred Education and Licenses

  • BS in related discipline and 5+ years experience or MS/MBA degree in related discipline and 3+ years of related experience
  • Strong preference for experience in a biopharma corporate development role; if not, required experience very close to transactions within the biopharma industry (investment banking, management consulting, venture capital, private equity)

  • Occasional mobility within office environment
  • Routinely sitting for extended periods of time
  • Constantly operating a computer, printer, telephone and other similar office machinery.

 

Description of Work Environment

  • Work indoors in normal office environment with little exposure to excessive noise, dust, fumes, vibrations and temperature changes
  • Frequent computer use at workstation
  • May move from one work location to another occasionally
  • Responsibilities may require a work schedule that may include working outside of “normal” work hours, in order to meet business demands
  • Occasional public contact requiring appropriate business apparel
